Terms of Service

1. Acceptance of Terms

By accessing or using Moeba's mobile application, admin portal, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Moeba provides a communication platform that connects end users with AI agents operated by businesses. The Service includes:

• A mobile application for end users to interact with AI agents.
• An admin portal for businesses to manage agents, users, and conversations.
• An API and webhook infrastructure for AI agents to communicate through the platform.

Moeba acts as a communication channel. We do not control the AI agents, their responses, or the business logic of the businesses operating them.

3. Accounts and Registration

3.1 End Users

To use the mobile application, you must:

• Have a valid mobile phone number.
• Be at least 18 years of age.
• Be invited by a registered business to connect with their agent.

3.2 Business Administrators

To register a business account, you must:

• Have a valid Google account.
• Provide accurate business information.
• Be authorised to act on behalf of the business you are registering.

You are responsible for maintaining the security of your account credentials and API keys.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Send spam, unsolicited messages, or harassing content.
• Impersonate any person or entity.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorised access to any part of the Service.
• Use the Service to transmit malware or malicious code.
• Collect or harvest user data without authorisation.

5. Business Responsibilities

Businesses using Moeba to operate AI agents are responsible for:

• The content and behaviour of their AI agents.
• Complying with all applicable data protection laws regarding user data received through the Service.
• Only inviting users who have a legitimate relationship with the business.
• Ensuring their agents do not generate harmful, misleading, or illegal content.
• Securing their webhook endpoints and API keys.

6. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Moeba and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

You retain ownership of any content you create and send through the Service. By using the Service, you grant us a limited licence to process and transmit that content as necessary to operate the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate or reliable.
• Any AI agent responses will be correct, complete, or appropriate.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Moeba shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Any content or behaviour of AI agents on the platform.
• Unauthorised access to or alteration of your data.
• Any third-party conduct on the Service.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will cease immediately.
• We may delete your account data in accordance with our Privacy Policy.

You may stop using the Service at any time by uninstalling the application or closing your admin account.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
